End User Agreement
Effective November 10, 2017
Welcome to the talentReef Platform, an online Internet-based service used to help employers find qualified applicants. If you elect to use these online services, these terms and conditions constitute a binding agreement between you ("you", "your", "user"), and talentReef, Inc., and its third-party providers ("talentReef", "our", "we", "us"), as pertaining to your use of the talentReef Platform (the "Site") and/or any of its affiliated web applications (the "Services"). By using the Site or Services, you agree to be bound by these terms and conditions (the "Agreement") and our Privacy Policy.
You recognize that you are being asked to use these Services by a prospective employer or your current employer, if applicable (each, the "Hiring Company"), but are not required to use the Services in order to be eligible for employment. As such, please notify the Hiring Company if any of the following pertain to you:
talentReef may from time to time update these terms and conditions and its Privacy Policy. If you have used the Services before, do not presume the Agreement or the Privacy Policy are the same.
Accepting the Terms:
By clicking "Accept" or "Agree," you are agreeing to the Agreement in its entirety and acknowledging the terms and conditions of talentReef's Privacy Policy.
Security and Privacy:
The nature of the Services requires that we collect certain personal information that identifies you, such as your name, address, phone and email address ("Personal Information"), and that we share this Personal Information minimally with the Hiring Company and perhaps others. For analytical purposes, we store information based on your interactions through the Services. These details, other than in non-personally identifiable and/or aggregate form, are not shared with third parties unless you give permission to do so.
We recognize that protecting your Personal Information is important. We have built the Site to use a combination of firewall barriers, encryption techniques and authentication procedures to protect Personal Information. We use industry accepted standards and protocols in protecting Personal Information collected within the Services during its transfer by the use of SSL (secure socket layer) encryption, as well as in employing physical safeguards in the protection of your Personal Information. While we take precaution in protecting your Personal Information from unauthorized disclosure, no method is 100% effective at all times, and we make no such guarantees.
Analytics are collected as part of the Service in order to allow us to count the number of visitors we receive to our Site, as well as to further explore statistically the actions and details of our users. We gather and use such information on an aggregate level, that cannot be tied to a users' specific Personal Information. Further, anonymous, aggregate information, or other available data that is collected through your use of the Services, may be used (in a non-personally identifiable manner) by us and our third-party providers to conduct certain analytical research, performance tracking and benchmarking. We may publish summary or aggregate results relating to such research, metrics and data, from time to time, and distribute or license such anonymous, aggregated research, metrics and data for any purpose, including, but not limited to, helping to improve products and services and assisting in troubleshooting and technical support.
For more information about talentReef's data protection practices, please read our Privacy Policy, which is hereby incorporated into this Agreement. The Hiring Company and other third-party sites which may be linked or accessed via the Services may have separate privacy policies and terms of use, and we strongly encourage you to consult and familiarize yourself with such privacy policies and legal terms as you visit each of these third-party sites.
Your Obligations:
You agree to provide true, accurate, current and complete information about yourself, and you agree to not misrepresent your identity, your registration, your employment history or any other information that you provide to or through the Services. Failure to provide accurate and complete information during registration or account setup may prohibit your use of the Services or result in errors in information generated. It also may jeopardize any future employment.
Wherever you provide information through the Site, you agree:
You are solely responsible for: (i) maintaining the confidentiality and security of your access number(s), password(s), login information, and any other security or access information used by you, or anyone you authorize on your behalf, to access the Services (collectively, "Access Information"), and (ii) preventing unauthorized access to or use of the information or data that you store or use in or with the Services (collectively, "Account Data"). You will be responsible for all electronic communications, including account registration and other account holder information, email and other data ("Communications") entered using the Access Information. It is assumed that any Communications received through use of the Access Information were sent or authorized by you. You agree to immediately notify us if you become aware of any loss, theft or unauthorized use of any Access Information. We reserve the right to deny you access to the Services (or any part thereof) if we reasonably believe that any loss, theft or unauthorized use of Access Information has occurred. You must inform us of, and hereby grant to us and our third-party providers, permission to use Access Information to enable us to provide the Services to you, including updating and maintaining Account Data, addressing errors or service interruptions, and to enhance the types of data and services we may provide to you in the future. talentReef may use, modify, display, distribute and create new materials using such Access Information to provide the Services to you. By submitting Access Information and Account Data, you automatically agree, or promise that the owner of such Access Information and Account Data has expressly agreed that, without any particular time limit, and without the payment of any fees, talentReef may use Access Information and Account Data for the purposes set forth herein.
Services Used at Your Risk:
The Services are provided to you by talentReef without charge (they are free) and are provided to you AS IS and AS AVAILABLE. From time to time talentReef may modify the Services and add, change, or delete features of the Services, in its sole discretion. Your access to and use of the Services is personal to you and is not transferable by you to any other person or entity; therefore, you agree not to resell or make any commercial use of the Services. You are entitled to access to and use of the Services only for lawful purposes.
talentReef acts solely as an operator of the Services for your convenience and use of the Services, and any reliance by you upon any content or information (the "Materials") available to you through the Services, including any action taken by you because of such use or reliance, is at your sole risk. Neither talentReef, the Hiring Company, nor any of talentReef's or Hiring Company's third-party providers, business partners, licensors, officers, directors, employees, shareholders or agents is responsible or liable for, or makes any representations or warranties as to the following, without limitation:
Export Restrictions:
You acknowledge that the Services and any software underlying such Services are subject to the U.S. Export Administration Regulations (15 CFR, Chapter VII) and that you will comply with these regulations. You will not export or re-export the software or Services, directly or indirectly, to: (A) any countries that are subject to U.S. export restrictions; (B) any end user who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government; or (C) any end user who you know or have reason to know will utilize them in the design, development or production of nuclear, chemical or biological weapons.
Proprietary Rights:
You acknowledge and agree that talentReef and/or its licensors or suppliers own all rights to the Site and the Services, the content displayed on the Site and the Services including its "look and feel" (e.g., text, graphics, images, logos and button icons), photos, editorial content, notices, and any intellectual or proprietary property and/or technology (in any form) made available to you as a part of or in conjunction with the Services. You are only permitted to use any of the foregoing as expressly authorized by this Agreement. You may not copy, reproduce, distribute, or create derivative works from this content. Further, you agree to not reverse engineer or reverse compile any of the Services' technology.
Communication:
We or the Hiring Company may communicate with you by e-mail, text or by posting notices on the Site or through the Services. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing. Electronic alerts will be sent via text, email or notification through the Services and to the email address or phone number you have provided. You understand and agree that any alerts provided to you through the Services may be delayed or prevented by a variety of factors. While we attempt to provide timely and accurate communications, we neither guarantee the delivery or accuracy of the content of any such communication. You also agree, that talentReef shall not be liable for any delays, failure to deliver, or misdirected delivery of any alert; for any errors in the content of an alert; or for any actions taken or not taken by you, or any third-party reliance on a communication. Automatic alerts may be sent to you updating you to certain changes to your account. Voluntary alerts may be turned on by default. Voluntary alerts may then be customized, deactivated or reactivated by you.
If you request customer service or other assistance from talentReef, you acknowledge and agree that talentReef is authorized to access and view your account information to provide such assistance and support.

Disclaimers of Warranties:
YOU UNDERSTAND AND EXPRESSLY AGREE THAT ANY USE OF THE SERVICES OR THIRD-PARTY SERVICES WILL BE AT YOUR SOLE RISK. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE talentReef PLATFORM, THE SERVICES, THE SITE, AND ALL INFORMATION, PRODUCTS, SERVICES, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE talentReef PLATFORM, THE SERVICES OR THE SITE, IS AT YOUR SOLE RISK. THE SERVICES, THE SITE, ALL CONTENT AND ALL SERVICES ASSOCIATED WITH talentReef ARE BEING PROVIDED "AS IS" AND "AS AVAILABLE." talentReef, THE HIRING COMPANY, AND ITS AND THEIR AFFILIATES AND THIRD-PARTY PROVIDERS, AND ANY OF THEIR LICENSORS (AS APPLICABLE) FURTHER MAKE NO WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, AND DISCLAIM ANY AND ALL WARRANTIES WITH RESPECT TO THE SERVICES OR ANY THIRD-PARTY SERVICES, IN WHOLE OR IN PART, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE, OR NON-INFRINGEMENT. talentReef, HIRING COMPANY AND ITS AND THEIR LICENSORS AND THIRD-PARTY PROVIDERS DO NOT WARRANT THE COMPREHENSIVENESS, COMPLETENESS, CORRECTNESS, LEGALITY, OR ACCURACY OF THE SERVICES OR THIRD-PARTY SERVICES, IN WHOLE OR IN PART, OR THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED OR ERROR FREE. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SERVICES OR THIRD-PARTY SERVICES.
Limitations on Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, talentReef, THE HIRING COMPANY, AND ANY OF talentReef'S OR HIRING COMPANY'S THIRD-PARTY PROVIDERS, BUSINESS PARTNERS, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS OR AGENTS ("talentReef Parties") SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES, CLAIMS OR LOSSES INCURRED, INCLUDING, WITHOUT LIMITATION, COMPENSATORY, INCIDENTAL, INDIRECT, DIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, HOWEVER CAUSED AND WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, RELATING TO TELECOMMUNICATION FAILURES, LOSS, CORRUPTION, SECURITY OR THEFT OF DATA, VIRUSES, SPYWARE, OR THE LIKE, ARISING IN CONNECTION WITH YOUR USE OF THE SITE OR THE SERVICES; ANY ACT OR OMISSION BY US IN ADMINISTERING THE SITE OR THE SERVICES, EVEN IF SUCH ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, CLAIMS, OR LOSSES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. WE ASSUME NO RESPONSIBILITY FOR ANY DAMAGE CAUSED BY YOUR ACCESS OR INABILITY TO ACCESS THE SITE OR THE SERVICES.
THE LIMITATIONS OF DAMAGES SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE AGREEMENT BETWEEN talentReef AND YOU. talentReef WOULD NOT BE ABLE TO PROVIDE THE SERVICES WITHOUT SUCH LIMITATIONS. NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL talentReef, HIRING COMPANY OR THEIR THIRD-PARTY PROVIDERS, BUSINESS PARTNERS, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS OR AGENTS BE LIABLE TO YOU FOR DIRECT DAMAGES IN EXCESS OF $25.00. THIS LIMITED REMEDY IS AGREED TO BY THE PARTIES AND SURVIVES A FAILURE OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU, BUT YOU AGREE THAT THE FOREGOING SHOULD BE APPLIED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Indemnification:
You agree to defend, indemnify, hold harmless and protect and fully compensate the talentReef Parties from any and all claims, liability, damages, losses, expenses and costs (including, but not limited to, reasonable attorney's fees) caused by or arising from your use of the Site or the Services, your violation of this Agreement or your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone.
You agree that talentReef does not make any hiring decisions, and you shall defend, indemnify and hold harmless talentReef and its affiliates, third-party providers, business partners, licensors, and each of the foregoing entities' officers, directors, employees and agents from any claims regarding your employment, or any decision by any Hiring Company not to employ you.
No Waiver:
talentReef shall not be deemed to have waived any of its rights or remedies hereunder unless such waiver is in writing and signed by talentReef. No delay or omission on the part of talentReef in exercising any rights or remedies shall operate as a waiver of such rights or remedies or any other rights or remedies. A waiver on any one occasion shall not be construed as a waiver of any rights or remedies on future occasions.
Exclusive Agreement:
You agree that this Agreement, together with the Privacy Policy, are the complete and exclusive agreement between you and talentReef. This Agreement supersedes any proposal or prior agreement, oral or written, and any other communications between you and talentReef relating to the subject matter of this Agreement. This Agreement, as the same may be amended from time to time, will prevail over any subsequent oral communications between you and talentReef.
Construction:
The titles and headings of the Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein. Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law. All covenants, agreements, representations and disclaimers as to warranties and limitations on liability made in this Agreement shall survive your acceptance of this Agreement and the termination of this Agreement.
Choice of Law and Forum for Disputes:
By visiting or using the Site and/or the Services, you agree that the laws of the State of Colorado, without regard to principles of conflict of laws, will govern the Agreement. To the extent that the Agreement conflicts with applicable state or federal law, such state or federal law shall replace such conflicting terms only to the extent required by law. You agree that any claim or dispute of any sort that might arise between you and talentReef, its officers, directors, employees, agents or affiliates must be brought in Denver, Colorado, subject to applicable jurisdictional requirements in any such action or proceeding. The parties irrevocably waive any objection to such venue. You understand that, in return for your agreement to this provision, talentReef is able to offer the Services without a fee to you and, as this Agreement designates, and that your assent to this provision is an indispensable consideration to this Agreement.
You also acknowledge and agree that, with respect to any dispute with talentReef, its officers, directors, employees, agents or affiliates, arising out of or relating to your use of the Services or this Agreement: (i) YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY; and (ii) YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING SUCH DISPUTE.
Notwithstanding the foregoing, talentReef may apply to any court of competent jurisdiction for specific performance and/or injunctive relief to restrain a violation by you of any term or covenant of this Agreement. Nothing contained in this Agreement will bar talentReef from immediately obtaining specific performance of the provisions of this Agreement and/or injunctive relief against threatened conduct that will cause loss or damages under customary equity rules, including applicable rules for obtaining restraining orders and preliminary injunctions.

talentReef, Inc. ("talentReef", "our", "we", or "us") is committed to protecting your privacy. This Privacy Policy ("Policy") applies exclusively to the services provided directly by talentReef (the "talentReef Services"), including those web services received from visiting talentReef.com (the "Site"). We provide this Policy as a means of making you aware of what data we collect, store, use and retain when you visit the Site and use the Services. Additional services may be made available by talentReef which may be provided by third party providers of talentReef. These services may be subject to different policies regarding the providers' collection, storage, usage and retention of data. If you have difficulty finding the applicable policies, or understanding when such policies apply, please contact talentReef for clarification.
We may revise this Policy from time, so you should review this Policy each time you visit the Site. In the event changes to this Policy materially change how taletReef uses your Personal Information, talentReef will notify you via email or post a notice on the homepage of the Site to let you know of such changes. The date this Policy was last updated is set forth at the top of this page. Your continued use of the Site after such changes have been made constitutes acceptance of those changes.
YOUR USE OF THE SITE SIGNIFIES YOUR CONSENT TO BE LEGALLY BOUND BY THE TERMS AND CONDITIONS OF THIS POLICY, INCLUDING YOUR CONSENT TO THE USE OF YOUR PERSONAL INFORMATION AS OUTLINED HEREIN. IF YOU DO NOT AGREE TO ALL TERMS OF THIS POLICY, DO NOT USE THE SITE OR THE SERVICES.

Collection of Your Personal Information:
For purposes of this Policy, "Personal Information " means (i) information that identifies you, such as your name, address, phone and fax numbers or email address, (ii) information, files or data that you enter, provide, store or use in or with the Services, including your employment information, and (iii) tracking data, which is automatically collected from every Site visitor.
When you use the talentReef Services, you will be asked for information, such as your name, email, phone number, age, gender and zip code. You are responsible for providing current, accurate, and complete Personal Information. It is your responsibility to notify us of any updates to or changes in your Personal Information.
In order to protect your Personal Information, you are responsible for maintaining the security and confidentiality of your log-in ID and password that allows you access to the talentReef Services. Do not share your log-in ID or password with others, as you are responsible for all actions that occur under your account. If you access the talentReef Services via integration with a potential employer, you may not have a human readable password assigned to you. This authentication process is implemented by the potential employer and is required to comply with talentReef's security standards.
Many, if not all, transaction details are recorded by talentReef. This information is used to provide information and assistance when using the talentReef Services. These details, other than in aggregate form, are not shared with any third parties.
For security and analytic purposes, we collect and store information about your interactions to the Site and use of the talentReef Services. The Site automatically logs many of the details regarding all visits to our Site and requests made to our web servers. The information we collect can include the browser type, cookie information, page requested by a visitor, and the visitor's IP address. None of this information is personally identifiable. This information is used to help improve the Site and talentReef Services, analyze trends, and administer the Site. We attempt to aggregate such tracking data so that no such data is tied to you in any personally-identifiable manner, however, due to the nature of the Internet, this is not always feasible and tracking data may be traceable back to you.
Use of Your Personal Information: We provide your Personal Information to potential employers, who will use the information in their discretion, including to determine whether to make you an offer of employment. Additionally, we may share your Personal Information in the following circumstances:
Aggregated data, which does not contain Personal Information that may be used to identify individual users may be shared, exchanged, sold or publicly disclosed and compiled, including for purposes of providing information regarding our talentReef Services and other service offerings. We may provide aggregate information to service providers for the purpose of aligning the proper services with users that need them. Information that can identify you personally is not disclosed during this process.
Where necessary, we may be legally required to disclose information if it pertains to actions of a criminal or fraudulent nature. We reserve the right to disclose information to government agencies where necessary in complying with a formal request such as in a civil suit, subpoena, court order or judicial proceeding. In addition, a violation of our Terms and Conditions (https://www.talentreef.com/terms) or the commission of a crime may necessitate the disclosure of the violator's Personal Information.
Security: We take reasonable precautions to protect your Personal Information from loss, misuse, unauthorized access or disclosure, alteration or destruction. We maintain reasonable physical, electronic and procedural safeguards for your Personal Information, including using firewalls, encryption techniques, authentication procedures, SSL (secure socket layer) encryption, and physical safeguards. You should recognize, however, that there is no such thing as "perfect security" on the Internet and we cannot guarantee the security of your Personal Information. In addition, because Internet communication is not 100% secure, it is possible that the information you supply to us or your access of any information via the Site may be intercepted during transmission. TALENTREEF IS NOT LIABLE FOR ANY BREACH OF OUR SYSTEMS OR INTERCEPTION OF OUR TRANSMISSIONS AND, FOR THE AVOIDANCE OF DOUBT, WE EXPRESSLY DISCLAIM, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO ENSURING, GUARANTEEING OR OTHERWISE OFFERING ANY DEFINITIVE PROMISE OF SECURITY IN CONNECTION WITH YOUR PERSONAL INFORMATION OR USAGE INFORMATION.
Cookies: When you use the talentReef Services, we want the experience to be as rewarding as possible. As with most online businesses, talentReef logs information about user access to, and use of the Site. When you visit the Site, we may collect technical and navigational information, such as computer browser type, Internet protocol address, pages visited, and average time spent on the Site. talentReef may use this information, for example, to alert you to software compatibility issues, or it may be analyzed to improve the Site and/or our service offerings.
We employ the use of cookies on the Site and talentReef Services to keep track of user preferences as well as to monitor the Site traffic and usage. "Cookies" are alphanumeric identifiers in the form of text files that are inserted and stored by your Web browser on your computer's or mobile device's hard drive to recognize the user. A cookie also assists in keeping you logged into your talentReef account. talentReef may also employ the use of pixel tags from time to time to help better understand the Site traffic and optimize user preferences for a better user experience. (Pixel Tags refer to clear gifs, and web beacons which are 1x1 images set on web pages to track page traffic.) Most Internet browsers will allow you to stop cookies from being stored on your computer and to delete cookies stored on your computer. Please note, however, that if you choose to restrict the use of cookies. the full functionality of the talentReef Services may be impaired and you may not be able to provide all of the information needed by a potential employer.
From time to time we may also employ the services of third-party agents to analyze certain online activities and to gather and track aggregate statistical information on the Site and through the talentReef Services on our behalf. The third parties may employ cookies and web beacons to this end. While we do not have control over these cookies, and the use of third-party cookies is not governed by this Policy, this aggregated information is not linked to Personal Information and it is used to improve our service offerings and trouble shoot inconsistencies.
Third Parties: This Policy only applies to the Site and the talentReef Services. While the Site may link to other websites and talentReef may have certain aspects of its service offerings provided by third parties (e.g., criminal background checks), talentReef does not exercise control over the websites maintained by and any activities of such third parties even if related to the talentReef Services or the other websites linked from the Site. If you choose to use these other websites, use third- party products or services, disclose information to third-party providers or grant them permission to collect information about you, then their use of your information is governed by their privacy policies. To clarify, talentReef is not responsible for the services, actions and policies of third-party websites that you access, either with regard to the Personal Information you provide to them, or which you authorize talentReef to provide to them, or which they obtain through your use of their websites directly and/or through the Site. You should be careful to review any privacy policies posted on third-party websites before providing any Personal Information through such websites.
Additionally, we may use third-party service providers to help us conduct or analyze certain activities within the talentReef Services, including to audit the security of our systems and to assist in the marketing of the talentReef Services. As an example, we may use a third party to help us analyze a users' use of the talentReef Services in order to improve the user's experience and improve our services offerings. We do not authorize these agents to use this information for any purpose other than to assist us in their contracted role, however, we are not responsible for such third parties' use of Personal Information that does not comply with this Policy.
Accessing and Changing Your Information. If you have an account with us, you can review and change certain personal information associated with your account through your account settings.
Business Transfers: If we purchase or sell assets, we may need to transfer certain user accounts and their corresponding information. The sale or closure of talentReef as a business entity could also necessitate the transfer of user information to another party. We may also need to transfer or assign Personal Information pursuant to a merger, consolidation or other transaction relating to talentReef or our assets.
